Rudi P. Fronk, Director, President and CEO, has over 20 years experience in the gold business, primarily as a senior
officer and director of publicly traded companies. Since 1999, Mr. Fronk's has served as President and CEO of Seabridge Gold. Prior to Seabridge, Mr. Fronk held senior management positions with Greenstone Resources, Columbia Resources, Behre Dolbear & Company,
Riverside Associates, Phibro-Salomon, Amax, and DRX. Mr. Fronk is a graduate of Columbia University from which he holds a Bachelor of
Science in Mining Engineering and a Master of Science in Mineral Economics.
A. Frederick Banfield, Director —
as Founder and Chairman of Mintec, Inc., Mr. Banfield was one of the original developers
of MineSight™, recognized as the pre-eminent reserves modeling and mine design software
system with more than 300 installations worldwide. Mr. Banfield has also been an independent
reserves auditor and mine planning advisor to some of the world's leading gold mining
organizations with respect to projects in the United States, Canada, Africa, Australia and
Latin America.
William M. Calhoun, Director,
has provided consulting services to the minerals industry in the areas of mining operations,
mine planning, mine design, ore reserves and environmental issues for the past 24 years as
an independent consultant. From 1972 through 1981 Mr. Calhoun served as President and CEO
of Day Mines, Inc., an American Stock Exchange Company with mining operations in the western
United States. In 1980 Day Mines was recognized by Forbes Magazine as one of the top-five
best-managed companies with less than $100 million in sales. During Mr. Calhoun's tenure,
Day Mines increased revenues 950%, net income 2,000%, dividends 670%, and total assets
880%, all without incurring any long-term debt. In 1981 Day Mines was acquired by Hecla
Mining in a hostile takeover. Prior to Day Mines, Mr. Calhoun worked for American Zinc
Company in various corporate roles including Manager of Western Operations, Chief Mine Engineer and
Mine Manager.
Mr. Calhoun's extensive public service record includes membership on President Ronald
Reagan's Strategic Minerals Task Force, President Gerald Ford's Inflation Task Force;
Director of the Silver Institute; Trustee of the Northwest Mining Association; Chairman of
the Mining Advisors Committee to the Governors of Washington and Idaho; President of the
Idaho Mining Association; Chairman of Idaho College of Mines Advisory Committee; and numerous other civil and
professional organizations. Mr. Calhoun has a Bachelor of Science degree in Mining/Geology
from the University of Texas-El Paso.
Thomas C. Dawson, Director,
has been a Chartered Accountant since 1961 and serves as Chairman of the
Company's Audit and Governance Committees. He is a retired senior audit and accounting partner with 40 years of
experience at Deloitte & Touche LLP, Chartered Accountants. He received his
B.Comm. from Loyola College (now Concordia University) in Montreal in 1959. Mr. Dawson currently serves as a Director and Chief Financial Officer of Arizona Star Resource Corp. and is
also a director of WFI Industries Ltd., Energy Split Corp.,
Energy Split II Corp., R. Split II Corp., and Anvil Mining Limited.
Louis J. Fox, Director,
has more than 25 years experience in precious metals trading, merchanting and merchant
banking activities. From 1984 to 1999 Mr. Fox was a Senior Vice President of Gerald Metals,
Inc. in Stamford, Connecticut. Gerald Metals is an internationally recognized commodity
trading, refining and merchant banking firm with offices throughout the world. At Gerald
Metals, Mr. Fox was the head of the company's worldwide precious metals group. Prior to
Gerald Metals, from 1974 to 1981, Mr. Fox was a Vice President of J. Aron & Co., regarded as
one of the world's premier precious metals trading firms. Following the acquisition of J.
Aron & Co. by Goldman Sachs in 1981, Mr. Fox was a Vice President of Goldman Sachs through
1984. Mr. Fox holds a B.A. from the University of Pittsburgh and a J.D. from the Boston
University Law School.
Eliseo Gonzalez-Urien, Director —
with over 30 years of experience, Mr. Gonzalez- Urien is one of the most highly
regarded exploration geologists in the mining industry. From 1989 through 2001 Mr.
Gonzalez-Urien held various executive positions with Placer Dome Inc. including Senior
Vice President of the parent company and President of Placer Dome Exploration Inc.
During this period he was charged with ultimate responsibility for Placer Dome´s worldwide
exploration activities. Prior to Placer Dome, Mr. Gonzalez-Urien held senior positions
with BHP-Utah Inc. and Noranda. He holds a degree in Geology from the University of Santiago,
Chile, followed by post graduate studies in Geology at the University of California, Berkley.
William E. Threlkeld, Senior Vice President —
is acknowledged as one of North America's outstanding geologists. He began his career at
Noranda Exploration Inc. but achieved his greatest recognition at Placer Dome Inc.
From 1991 to 1997 as Exploration Manager and Vice President, he was responsible for all of
Placer Dome's exploration activity and investment in Latin America. Mr. Threlkeld directed
programs that resulted in the discovery and delineation of Las Cristinas, Venezuela
(9.7 million ounces), Cerro Crucitas, Costa Rica (2.3 million ounces) and Mulatos, Mexico
(2.0 million ounces). From 1997 to 2000 he was Vice President, Exploration for Greenstone
Resources Ltd. responsible for resource delineation on three Central American gold deposits
and development of an organization and strategy to identify new mineral investments.
Mr. Threlkeld obtained his MSc in Economic Geology from the University of Western Ontario.
